Standard Terms & Conditions of Sale of Norcon Computers Limited

All quotations are made and all orders are accepted subject to the following standard Terms & Conditions of Sale of Norcon Computers Limited (hereinafter called the Seller).
1   Orders: The Seller reserves the right to accept or refuse orders and also the cancel or suspend delivery/implementation under any circumstance.
 
2   Descriptions, Etc.: All descriptive specifications are approximate only and the descriptions and illustrations contained in the Seller’s catalogue price list and any other advertising matter are intended merely to present a general idea of the goods described therein and none of these shall form part of the contract. The Seller neither gives, nor implies any warranty as to the suitability of the computer system as regards any particular customer business or application. The Seller reserves the right to modify without notice the design and specification.
 
3   Delivery/Live implementation: Times or dates for delivery/live implementation are business estimates only not contractual obligations of the Seller. The Seller will make every endeavour to deliver or perform by the time or date given but will not accept cancellation arising or be liable for loss claimed to have arisen directly or indirectly from any delay.
 
4   Data Submission: Where the Seller undertakes data input on behalf of the purchaser, the Sellers invoice for the full quotation price shall fall due; if the requested date is not received within thirty days from the date of the computer system/software delivery.
 
5   Price: Unless otherwise stated all prices quoted are subject to alteration without notice and orders are accepted on the basis that the prices charged will be those ruling the date of order. If on the Purchaser’s instructions work is performed outside of normal working hours, such work will be charged as an extra at overtime rates but advised to the customer prior to commencement of any such work.
 
6   Liability: All equipment supplied and installed by the Seller but not of its manufacture shall be guaranteed only to the extent of any Guarantee or Warranty given to the Seller by the Manufacturer. The Seller shall be under no liability in respect or consequent upon any defective equipment whether original or replaced or in respect of any installation of that equipment nor for any other expenses incurred or damages sustained by the customer.
 
7   Performance: Performance figures, if given, are such as may be expected to be attained on test upon completion of installation and are subject to the reasonable tolerances. Reasonable time and opportunity are to be given to comply with such performance figures and no liability will be accepted in respect of any failure of attainment on test unless they have been specifically guaranteed under an agreed sum by way of liquidated damages.
 
8   Terms of Payment: Payments shall be made net to the Seller’s Office on presentation of invoice on delivery. Or on live implementation where the Seller undertakes data input on behalf of the purchaser notwithstanding the conditions set out in section 4, which relates to the submission of data. The Contract price will be payable by the Purchaser in strict accordance with the Contract terms notwithstanding any delay in delivery or performance under the contract or any adjustments or correction of minor defects which may be required to the computer system or any software. The Seller may suspend performance of any contractual obligation to the purchaser so long as any account of that Purchaser is overdue. The Seller shall be entitled (without Prejudice to its right to recover any amount due from the Purchaser or to any other right) to charge the Purchaser with interest at the rate of three percent over bank base rate per annum on any amount overdue.
 
9   Purchasers Risk: All goods are consigned at Purchaser’s risk but the property in the goods will not pass to the Purchaser until payment has been made to the Seller of the full contract price for the goods. In the case of default by the Purchaser the Seller may give notice to the Purchaser terminating the Purchaser’s right to possession.
 
10   Insurance of Computer System: The responsibility for insuring the computer system shall be that of the purchaser on delivery. All insurance policies must cover the purchase price in the event of theft or damage, no matter under what circumstances any such theft or damage occurs.
